These Terms of Service ("Terms") govern your access to and use of the website at alphaasphaltcare.com (the "Site"), operated by Alpha Asphalt Care LLC, a Utah limited liability company ("Alpha Asphalt Care," "we," "us," or "our"). By accessing or using the Site, you ("you" or "User") agree to be bound by these Terms. If you do not agree, do not use the Site.
1. Use of the Site
You may use the Site only for lawful purposes and in accordance with these Terms. You agree not to: use the Site in any way that violates applicable law or regulation; attempt to gain unauthorized access to any portion of the Site, its servers, or connected systems; introduce malware or otherwise interfere with the Site's operation; copy, scrape, or republish any part of the Site except as expressly permitted; or use the Site to transmit unsolicited advertising or to harvest the personal information of others.
2. Requests for Quotes; No Contract Formed
The Site lets you request information and a quote for asphalt sealcoating and related services. Submitting a request, receiving an estimate, or otherwise using the Site does not create a contract for services and does not obligate either party. Any prices, estimates, or square-footage figures provided through the Site or our online estimating tools are preliminary and informational only and are not binding offers. Services are provided only under a separate written quote and Service Agreement, and final pricing is subject to on-site inspection and confirmation. See our Disclaimer for details.
3. Intellectual Property
The Site and all of its contents — including text, graphics, logos, the "Alpha Asphalt Care" name and mark, images, layout, and design (collectively, the "Content") — are the property of Alpha Asphalt Care LLC and are protected by United States and international copyright, trademark, and other intellectual-property laws. All rights are reserved. You may view and print Content solely for your own personal, non-commercial use. You may not copy, reproduce, distribute, modify, publicly display, or create derivative works from any Content without our prior written permission.
4. Third-Party Links
The Site may contain links to third-party websites or resources provided for convenience and reference only. We do not control and are not responsible for the content, accuracy, policies, or practices of any third-party site, and a link does not imply our endorsement. Your use of any third-party site is at your own risk and subject to that site's terms.
5. Disclaimers
The Site and all Content are provided "as is" and "as available," without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or secure, or that any information on the Site is accurate, complete, or current. 6. Limitation of Liability
To the fullest extent permitted by law, Alpha Asphalt Care LLC and its members, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or relating to your access to or use of (or inability to use) the Site, even if advised of the possibility of such damages. To the fullest extent permitted by law, our total liability for any claim arising out of or relating to the Site will not exceed one hundred dollars ($100). Liability relating to services we actually perform is governed by the Service Agreement, not these Terms. Nothing in these Terms limits any liability that cannot be limited under applicable law.
7. Indemnification
You agree to indemnify and hold harmless Alpha Asphalt Care LLC and its members, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your misuse of the Site or your violation of these Terms.
8. Privacy
Your use of the Site is also governed by our Privacy Policy, which explains how we collect and use your information.
9. Governing Law; Dispute Resolution
These Terms are governed by the laws of the State of Utah, without regard to its conflict-of-laws rules. The parties will attempt in good faith to resolve any dispute relating to the Site or these Terms through informal discussion, then mediation, and then binding arbitration conducted in the State of Utah, before resorting to any other forum; except that either party may seek injunctive relief in a court of competent jurisdiction to protect its intellectual property.
10. Changes to These Terms
We may modify these Terms at any time by posting the revised version on the Site with an updated effective date. Your continued use of the Site after the changes take effect constitutes your acceptance of the revised Terms.
11. General
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any provision is not a waiver of it. These Terms, together with our Privacy Policy and Disclaimer, constitute the entire agreement between you and us regarding the Site.
